Terms of Service
Last updated: 2026-04-23
These Terms of Service ("Terms") govern your use of StackCube, the online service provided by Skylink Co., Ltd. ("we" or "us").
1. Purpose
These Terms define the rights, obligations, and responsibilities between us and Customers related to the use of the StackCube service ("Service").
2. Definitions
- "Service" refers to intake of dealer and customer orders received by email, chat, SMS, spreadsheets, PDFs, images, and order pages; AI-assisted extraction of order lines and matching of items and prices; review and approval; integrations with ERP and other external systems; the Android app; and related functionality.
- "Customer" refers to the business entity that agrees to these Terms and enters into a service agreement with us.
- "Authorized User" refers to an employee or other person whom the Customer invites or grants an account to use the Service.
- "Customer Data" refers to all information entered, transmitted, or uploaded to the Service by the Customer, its Authorized Users, or its trading partners, including original order content, attachments, and partner, item, and price information.
- "Account" refers to the identifier created to access the Service.
3. Applicability
- These Terms apply to Customers who pay in U.S. dollars or who are otherwise not covered by our Korean-language Terms of Service. Customers who pay in Korean won or contract with us in Korean are governed by the Korean-language Terms.
- If we and the Customer have signed a separate written agreement, that agreement prevails over these Terms.
- The Service is intended for business use only and is not offered to consumers.
4. Changes to These Terms
- We may revise these Terms as permitted by applicable law.
- We will post changes on our website at least 7 days before they take effect. Changes that are adverse or material to Customers will be notified by email at least 30 days before they take effect.
- If the Customer continues to use the Service after the effective date without objecting, the Customer is deemed to have accepted the revised Terms. If the Customer does not accept the changes, it may terminate the agreement before the effective date and receive a pro-rata refund of prepaid fees for the unused period.
5. Service Provision and Changes
- We strive to provide a stable service.
- The Service may be temporarily interrupted due to maintenance, failures, outages of external services, or force majeure. We will announce scheduled maintenance in advance where possible.
- We may add, change, or remove features to improve the Service, and will give advance notice of changes that materially affect Customers.
6. Fees, Billing, and Auto-Renewal
- Plans, fees, and usage limits are described on our pricing page or in a separate agreement.
- Paid plans are billed monthly in advance and automatically renew on the same terms, charged to the payment method on file, until the Customer cancels.
- We may offer a free trial for a period we set (30 days by default). Trials do not convert to paid plans automatically; the Customer must select and pay for a plan to continue using the Service.
- If a payment fails, we will ask the Customer to update its payment method. If payment is not completed within 14 days of the failure, the subscription may be canceled and the Service may become read-only.
- We will give existing Customers at least 30 days' notice of fee changes.
- Fees are exclusive of taxes, which the Customer is responsible for paying unless we are required by law to collect them.
7. Cancellation and Refunds
- The Customer may cancel at any time through the Service settings or by contacting support. After cancellation, the Service remains available until the end of the current paid billing period, and no further charges will be made.
- Fees are non-refundable, except as required by law, as provided in Section 13 (Termination of the Service), or as agreed in a separate written agreement.
8. Customer Obligations
- The Customer must comply with applicable laws, these Terms, and our reasonable instructions.
- The Customer is responsible for safeguarding account credentials and any external service credentials registered in the Service (such as ERP login information and API keys), and for all activity of its Authorized Users.
- The Customer is responsible for having all rights, notices, and consents required to have the Service process Customer Data, including contact information of trading partners and the contents of SMS, chat, and email messages.
- The Customer must not attempt unauthorized access, reverse engineer the Service, impose excessive load, infringe the rights of others, transmit unlawful content, or otherwise misuse the Service.
9. AI Features and Results
- AI-generated results, including extracted order lines, item and price matches, and suggested candidates, are review aids. We do not guarantee their accuracy or completeness.
- The Customer must review results before approving orders. The Customer is solely responsible for decisions to approve, edit, or reject orders, send documents, or post data to ERP or other external systems, and for the consequences of those decisions.
10. Third-Party Integrations
- Integrations with third-party services such as ERP, messaging, email, SMS, and shipping providers are also subject to those providers' terms and policies.
- We will make reasonable efforts to address limitations caused by outages, policy changes, API changes, or discontinuation of third-party services, but we are not responsible for resulting losses unless caused by our intentional misconduct or negligence.
- We use credentials provided for integrations solely to operate those integrations.
11. Customer Data and Data Processing
- The Customer retains all rights to Customer Data. We process Customer Data only as necessary to provide, maintain, and secure the Service, provide support, and comply with law.
- With respect to personal information in Customer Data, we process it on the Customer's behalf as a processor (service provider), and the Customer remains responsible for determining the purposes of processing.
- The Customer authorizes us to engage the sub-processors listed in our Privacy Policy. We will disclose changes to sub-processors by updating the Privacy Policy.
- We will notify the Customer without undue delay after becoming aware of a breach affecting Customer Data and will cooperate to mitigate it and meet legal obligations.
- After the agreement ends, we delete Customer Data in accordance with our Privacy Policy.
12. Suspension and Termination
- We may suspend the Service if the Customer fails to pay, breaches these Terms, poses a security threat to the Service, or violates applicable law.
- We will notify the Customer before suspension, except where immediate action is required, such as an urgent security threat, in which case we will notify the Customer promptly afterward.
- If the Customer does not cure the cause within a reasonable period after notice, we may terminate the agreement.
13. Termination of the Service
If we discontinue the Service entirely for business reasons, we will notify Customers by email at least 90 days in advance, refund prepaid fees for the unused period on a pro-rata basis, and assist Customers in exporting their data.
14. Data Export After Termination
The Customer may request an export of Customer Data within 30 days after the agreement ends, and we will provide it in a reasonable format. After that period, we delete Customer Data in accordance with our Privacy Policy.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
16. Limitation of Liability
- WE ARE NOT LIABLE FOR LOSSES CAUSED BY FORCE MAJEURE, THE FAULT OF THE CUSTOMER OR ITS AUTHORIZED USERS, AI RESULTS REVIEWED AND APPROVED BY THE CUSTOMER, OR OUTAGES OF THIRD-PARTY SERVICES OR NETWORKS OR UNLAWFUL ACTS OF THIRD PARTIES NOT CAUSED BY OUR INTENTIONAL MISCONDUCT OR NEGLIGENCE.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR LOSS OF GOODWILL.
- OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CUSTOMER TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
- THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO DAMAGES CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
17. Indemnification
The Customer will defend, indemnify, and hold us harmless from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) Customer Data, including the Customer's lack of rights or consents required to have it processed through the Service, (b) the Customer's or its Authorized Users' breach of these Terms, or (c) the Customer's violation of applicable law.
18. Governing Law and Jurisdiction
